Overview

The role will be responsible for three core functions:

  1. Management of internal consulting work delivered by the holding company Associates to HBM’s portfolio of companies,
  2. Oversight and coordination of corporate development/M&A activities, and
  3. Oversight, recruitment and career development of HBM’s Associate population (in partnership with HBM’s talent development team).

Responsibilities

Manage Internal Consulting Work:

  • Develop a deep understanding of the portfolio company strategies, business models, challenges, and growth objectives. In partnership with leaders from those companies, identify project-based opportunities for corporate development team to provide internal consulting support:
  • Ensure a steady pipeline of project work which is mutually beneficial for the business and for the Corporate Development Associate’s growth and development, including support of strategic planning work, market research, operational improvement and investment analysis
  • Network effectively with business leaders to create opportunities within business units for meaningful support of their key initiatives. 
  • Ensure timely communication and presentation of internal consulting projects to portfolio company and HBM senior management.

Oversight of Corporate Development/M&A Activity:

  • Oversee activities of the Corporate Development team including: coordinate M&A strategy and process; lead due diligence effort; develop and coordinate acquisition integration
    Conduct business acquisition evaluations and recommendations for target companies that provide strategic fit for HBM’s growth objectives:
    • Strategic and financial evaluation of candidate companies
    • Complete financial and economic modeling
    • Interface with senior management within the holding company and in the portfolio companies
    • Facilitate evaluation of bolt-on acquisition opportunities within the portfolio companies
  • Lead the acquisition process 
    • Primary contact with sellers and/or investment banks
    • Oversee deal phases including indications of interest (IOI), letters of intent (LOI), management meetings, and overall process.
    • Lead as required in due diligence, audits, post-closing issues
    • Coordinate the post-closing integration of acquisitions
  • Provide business intelligence to HBM executive management as part of a broader Strategic Planning and Business Development activity in a concise and timely manner to promote decision making in the areas of:
    • Competitive peer holding company trends, structures, strategies
    • Maintain relationships with industry groups to be able to provide insight and intelligence links
    • Industry trends, opportunities/threats and strategies related to HBM portfolio companies and M&A activities

Management, Recruitment and Career Development of Staff:

  • Manage the team of Corporate Development Associates (full-time) and seasonal interns, which is approximately 6 people total
  • Manage Director, Deal Origination, including developing HBM’s brand in the financial and broader business communities; network with appropriate banking and financial institutions as well as other deal sources and stakeholders
  • Play an active role in the recruitment and career development of Corporate Development Associates and interns
    • Partner with HBM’s Talent Management team for on-campus recruitment efforts and brand-building events to attract and retain top talent
    • Play an active role in the development of Corporate Development team, including matching projects, assignments, and training to facilitate growth and career acceleration for the team

Qualifications

EXPERIENCE REQUIRED:

  • 10+ years overall relevant work experience, with a preference for corporate development,  operational/GM experience, and finance
  • 5+ years’ experience leading a team and proven track record of developing others
  • Deal experience/ M&A preferred; demonstrated ability to manage a deal process and subsequent integration a significant plus
  • Prior management of people and process, ideally in some approximation of internal consulting projects


SKILLS REQUIRED:

  • Ability to deal effectively with multiple constituencies (e.g. Investment Bankers, acquisition target companies, senior management, mid-career talent, portfolio company leadership at all levels)
  • Fortitude to push the organization’s comfort zone but the ability to support the chosen direction
  • Strong business acumen and analytic skills
  • Leadership skills and a proven ability to develop others
  • Excellent strategic thought process with the ability to drive results at both the transactional and strategic levels
  • Effective networking skills
  • Highly self-motivated with a keen sense of focus and responsiveness as well as ability to deliver with rapid turnaround
  • Ability to function autonomously
  • Ability to skilfully and calmly handle complex business issues and interact with all levels of management
  • Know and use effectively M&A modeling (Microsoft Excel)
  • Excellent oral and written communications and presentation skills
  • Must have a high energy level and a natural orientation to develop and sustain relationships with others
  • A positive can-do attitude with the ability to work independently in a relatively unstructured environment

 

EDUCATION:

The candidate will need to have at a minimum a BS in Finance, Business, Engineering, or other technical degree. MBA strongly preferred.
